Terms of Service
These terms govern your use of ZevPay Checkout as a merchant. By creating an account, generating an API key, or accepting a payment through us, you agree to them. Read them; they are short by legal standards and we mean what they say.

The agreement
"ZevPay Checkout" ("we", "us") is the payment gateway operated from Lagos, Nigeria, under partnership with 9PSB and VFD Microfinance Bank, licensed Nigerian institutions regulated by the Central Bank of Nigeria. "You" are the merchant: the business or person that opens an account to accept payments.
These terms, the pricing page, and our Privacy Policy together form the agreement between you and us.

Eligibility and verification
- You must be at least 18 and able to enter a binding contract.
- You must complete our onboarding and verification checks before accepting live payments. This includes identity verification (BVN or NIN) and, for registered businesses, corporate documents.
- You must give us accurate information and keep it current. If your details change, update them or tell us.
- We may decline, limit, or re-verify any account where Nigerian law, our banking partners, or our risk assessment requires it.

Your account and API keys
- Your secret API keys are credentials. Keep them out of client code, repositories, and screenshots. Anything done with your keys is treated as done by you until you tell us they are compromised.
- If a key leaks, rotate it in the dashboard immediately and tell security@zevpaycheckout.com.
- Sandbox keys are for testing only and cannot move real money.
- You are responsible for the people you give dashboard access to and for verifying webhook signatures before trusting an event.

Acceptable use
You may not use ZevPay Checkout to accept payment for:
- anything illegal under Nigerian law, or the law of the place you sell to;
- fraud, pyramid or ponzi schemes, or deceptive offers;
- money laundering, terrorist financing, or sanctions evasion;
- goods or services you do not actually deliver;
- any category our banking partners or card networks prohibit. We can share the current restricted list on request.
You also may not probe or disrupt the service, misrepresent who you are to customers, or resell access to your integration to unverified third parties.

Fees
Our fees are on the pricing page. They are deducted from each transaction before settlement; the dashboard shows the gross amount, our fee, and your net on every payment. There are no monthly fees, setup costs, or minimums. If we change pricing we will give you notice before the change applies to you.

Settlement and payouts
- Net proceeds are settled to the destination configured on your API key: your registered Nigerian bank account on a T+1 schedule (next working day), or your ZevPay Business ledger where that option is enabled for your account.
- Your dashboard shows pending payout as a running balance so you always know what is owed before it lands.
- Settlement timing depends on banking partners and interbank infrastructure we do not control; a delayed payout is not a waived payout.
- You must own the bank account you register for settlement. We verify the account name before activating it.

Reviews, reversals, and refunds
- We may place a transaction under review where we see fraud signals, a customer complaint, or a partner or regulator inquiry. Reviewed transactions are excluded from payout until resolved.
- If a payment is reversed by the sending bank or was made in error, we may deduct the amount from your pending or future settlements.
- Refunds you issue to customers are your decision and your responsibility; our fee on the original transaction is not returned unless the payment failed on our side.

Your customers
The sale is between you and your customer. You are responsible for delivering what you sold, for your own terms and refund policy, and for honest product descriptions. We are responsible for moving the money as instructed.

Data protection
Both of us handle personal data under the Nigeria Data Protection Act 2023. Our handling is described in the Privacy Policy. For customer data you receive through us (names, emails, payment references), you are an independent data controller and must protect it and use it lawfully.

Intellectual property
We own the ZevPay Checkout software, SDKs, APIs, and brand. You get a limited, revocable, non-exclusive licence to use them to accept payments under these terms. Your business, your content, and your customer relationships remain yours. You may say you accept payments via ZevPay Checkout; you may not imply we endorse your products.

Disclaimers
The service is provided as available. We target high availability and publish live status at status.zevop.com, but we do not promise uninterrupted service and we are not responsible for failures of banks, card networks, telecoms, or other infrastructure we do not operate.

Limitation of liability
To the extent Nigerian law allows: we are not liable for indirect or consequential losses, lost profits, or lost data. Our total liability for any claim in a 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot lawfully be limited, including for fraud. Money that is verifiably yours and held for settlement is not subject to this cap; it is paid out per section 6.

Suspension and termination
- You can stop using the service and close your account at any time; we settle what you are owed after reviews and reversals clear.
- We can suspend or terminate an account that breaks these terms, poses fraud or legal risk, or that a banking partner or regulator requires us to act on. We tell you what we can lawfully tell you.
- Sections that by their nature survive (fees owed, liability, data, records) survive termination.

General
- Governing law: the laws of the Federal Republic of Nigeria. Courts of Lagos State have jurisdiction, after a good-faith attempt to resolve the dispute with us directly.
- Changes: we may update these terms; material changes are notified by email or dashboard notice before they take effect. Continuing to use the service accepts the updated terms.
- Assignment: you may not assign this agreement without our consent; we may assign it within the ZevPay group or in a reorganisation.
- Entire agreement: these terms, the pricing page, and the Privacy Policy are the whole agreement and replace prior discussions.
